Purpose and Spirit of This Agreement

Vivation has been developed, refined, and protected since 1979. The teachings, methods, models, manuals, exercises, recordings, and professional training materials are entrusted only to people who enter the Vivation training pathway. This Agreement exists to protect the integrity, authenticity, and continuity of the Vivation lineage, the quality of future teaching, the trust of the Vivation community, and the students who deserve to receive Vivation in its authentic form.

This Agreement is not intended to create fear. It is intended to make the trust clear. By signing it, you are agreeing to receive restricted Vivation materials with care, confidentiality, and respect.

This is one combined agreement. It covers both: (1) your limited permission to access and use restricted Vivation training materials, and (2) if and when you satisfy all certification and licensing requirements, your annual permission to use the Vivation name and professional title within the limits of this Agreement and Vivation International standards.

You are being trusted with restricted Vivation materials because you are participating in Vivation training.
You may use those materials for your own training, personal practice, and authorized Vivation teaching only as permitted by Vivation International.
This document also functions as the Vivation Professional licensing agreement. The annual professional license is active only when you are certified or otherwise approved by Vivation International, have paid the required annual license fee, and remain in good standing.
The current annual Vivation Professional license fee is $149 per year, unless Vivation International changes the fee for future license periods in writing.
You may not copy, share, publish, sell, upload, give away, adapt, rebrand, or distribute restricted Vivation materials unless Vivation International gives clear written permission.
You may not upload or submit restricted Vivation materials to AI systems, chatbots, transcription systems, machine-learning systems, public databases, or other third-party platforms unless Vivation International gives clear written permission.
Certified Vivation Professionals may share only approved student-facing Vivation materials with their own Vivation students. Teacher-only materials remain teacher-only.
A serious breach may cause substantial harm to Vivation International and may result in injunctive relief, damages, attorney fees, and other legal remedies.

1. Restricted Materials

“Restricted Materials” means all non-public Vivation materials, content, knowledge, methods, and information provided or made available to you before, during, or after training, in any format. Restricted Materials include, without limitation:

teacher training manuals, session manuals, lesson plans, scripts, prompt libraries, diagrams, models, exercises, handouts, worksheets, slides, recordings, videos, audio files, portal content, private community content, certification materials, business/training protocols, internal teacher communications, and updated or derivative versions of any of these materials;
Vivation-specific methods, teaching sequences, coaching structures, training processes, proprietary terminology, and professional know-how that are not generally available to the public; and
any materials marked or described as “restricted,” “confidential,” “teacher-only,” “Vivation Professionals only,” “internal,” or similar wording.

“Student-Shareable Materials” means materials that Vivation International expressly designates in writing as approved for sharing with Vivation students or clients. “Teacher-Only Materials” means all Restricted Materials that are not expressly designated as Student-Shareable Materials.

2. Limited License to Access and Use Restricted Materials

Vivation International grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Restricted Materials only for the following permitted purposes:

your own Vivation training and personal Vivation practice;
completion of Vivation training requirements; and
authorized Vivation teaching, but only if and while you are certified, licensed, or otherwise expressly authorized by Vivation International and remain in good standing.

No ownership is transferred to you. This Agreement gives permission to use the materials in limited ways; it does not sell or assign the materials, the Vivation brand, or the underlying intellectual property to you.

3. Annual Vivation Professional License

This Agreement also governs the annual Vivation Professional license. The annual professional license is not active merely because you sign this Agreement or attend training. It becomes active only if and when all of the following are true:

you have completed the required Vivation training and certification requirements, or have otherwise been approved in writing by Vivation International;

Vivation International has accepted you as a certified, licensed, or authorized Vivation Professional in good standing; and

you have paid the applicable annual license fee. The current annual Vivation Professional license fee is $149 per year, unless Vivation International changes the fee for future license periods in writing.

While your annual professional license is active and you remain in good standing, you may describe yourself using the Vivation professional title approved by Vivation International and may teach Vivation within the scope of your certification, this Agreement, and current Vivation International standards, ethics, and guidelines.

The annual professional license is personal, non-exclusive, non-transferable, revocable, and must be renewed annually. It does not give you ownership of the Vivation name, logo, trademarks, materials, teacher-training system, certification authority, or goodwill.

If your annual license expires, is not paid, is suspended, is revoked, or you are no longer in good standing, you must stop representing yourself as a licensed Vivation Professional and stop using Vivation names, marks, titles, and restricted professional materials except as expressly allowed in writing by Vivation International.

4. Ownership of Intellectual Property

All Restricted Materials and all associated copyrights, trademarks, trade names, service marks, methods, techniques, processes, goodwill, and proprietary rights remain the exclusive property of Vivation International or its authorized rights holders. You agree not to challenge, undermine, dilute, misuse, or claim ownership of Vivation International’s rights in the Restricted Materials, the Vivation name, or the Vivation brand.

5. Confidentiality

You agree to keep all Restricted Materials confidential. You may not disclose, distribute, publish, display, transmit, lend, sell, teach from, or otherwise make Restricted Materials available to any person or organization except as expressly permitted in this Agreement or by written permission from Vivation International.

This confidentiality obligation continues indefinitely, including after training ends, certification is denied, certification is granted, certification expires, certification is suspended or revoked, or your relationship with Vivation International otherwise ends.

6. Prohibited Uses

Except with express written permission from Vivation International, you agree that you will not:

copy, scan, photograph, record, reproduce, transcribe, summarize for distribution, or otherwise duplicate Restricted Materials, except for reasonable personal study use that remains private and secure;
share Restricted Materials with friends, clients, students, colleagues, other teachers, other Vivation Professionals, other organizations, online communities, or the public;
upload, post, publish, sell, license, sublicense, distribute, or make Restricted Materials available on any website, cloud folder, file-sharing service, social media platform, course platform, messaging platform, or public/private online group;
use Restricted Materials to create, market, teach, or sell any competing, derivative, rebranded, or substantially similar course, certification, teacher training, coaching method, manual, retreat, online program, membership, or product;
train, certify, authorize, or imply authorization of any other person to teach Vivation unless Vivation International has expressly authorized you in writing to do so;
remove, obscure, alter, or bypass any copyright notice, trademark notice, watermark, access control, confidentiality label, or ownership notice;
claim that you own, originated, created, or independently developed Restricted Materials that were provided through Vivation training;
use the Vivation name, logo, marks, certification titles, or confusingly similar names except as expressly permitted in writing by Vivation International; or
register domain names, social media handles, business names, trademarks, products, courses, or advertising that use Vivation or confusingly similar language without written permission.

7. Artificial Intelligence, Machine Learning, and Automated Systems

Because modern software systems can copy, store, analyze, train on, summarize, reproduce, or expose confidential content, you agree that you will not upload, paste, submit, scan, transcribe, dictate, train, analyze, summarize, or otherwise provide any Restricted Materials to any artificial intelligence system, chatbot, machine-learning system, transcription service, automated content-generation tool, search/indexing system, public database, or third-party software platform unless Vivation International gives prior written permission.

This restriction includes, without limitation, ChatGPT, Claude, Gemini, Copilot, Perplexity, Notion AI, Otter, Fireflies, Zoom AI tools, Google AI tools, Microsoft AI tools, course-generation tools, automated note-taking tools, or any similar current or future technology.

8. Authorized Teaching After Certification

If your annual Vivation Professional license is active and you are in good standing, you may teach Vivation to your own students or clients within the scope of your certification and the current standards, ethics, and guidelines of Vivation International.

When teaching, you may use your own words and embodied understanding. You may share only Student-Shareable Materials that Vivation International has approved for students. Teacher-Only Materials must never be shared with students, clients, friends, colleagues, or other Vivation Professionals unless Vivation International gives clear written permission.

Certification or participation in training does not give you permission to train or certify Vivation teachers, create teacher-training materials, create derivative Vivation trainings, or represent yourself as an official certifying body for Vivation unless Vivation International expressly authorizes that role in writing.

9. Security and Care of Materials

You agree to take reasonable steps to protect Restricted Materials from unauthorized access, copying, or disclosure. This includes keeping digital files secure, not leaving printed materials where others can copy or photograph them, not forwarding materials to unauthorized people, and promptly notifying Vivation International if you become aware of any unauthorized access, loss, theft, copying, or disclosure.

10. Return or Destruction of Materials

Upon request by Vivation International, or if your permission to use Restricted Materials ends, you agree to promptly return, delete, or destroy Restricted Materials as directed by Vivation International, except for any materials that Vivation International expressly permits you to retain for personal practice or authorized ongoing teaching. If requested, you agree to certify in writing that you have done so.

11. Remedies for Breach

You understand that unauthorized copying, disclosure, publication, uploading, distribution, sale, rebranding, or use of Restricted Materials may cause substantial harm to Vivation International, including harm to lineage integrity, loss of exclusivity, market confusion, loss of certification value, reputational harm, dilution of the Vivation brand, and harm that may be difficult to calculate precisely.

Because this harm may be difficult to measure, you agree that for any material breach involving unauthorized copying, uploading, publication, distribution, sale, disclosure, rebranding, derivative use, or commercial use of Restricted Materials, Vivation International may seek liquidated damages of Fifty Thousand Dollars ($50,000) per material breach, to the extent permitted by law. The parties intend this amount as a reasonable estimate of difficult-to-measure harm and not as a penalty.

Vivation International may also seek temporary, preliminary, and permanent injunctive relief to prevent or stop unauthorized use or disclosure, as well as any other remedies available under contract law, copyright law, trademark law, trade secret law, unfair competition law, or other applicable law. If Vivation International substantially prevails in an action to enforce this Agreement, Vivation International may seek recovery of its reasonable attorney fees, court costs, and enforcement expenses to the extent permitted by law.

If a court determines that any remedy or damages provision is not enforceable as written, the parties request that the court enforce it to the maximum extent permitted by law.

12. No Waiver

If Vivation International does not immediately enforce any part of this Agreement, that does not waive the right to enforce it later. Any waiver must be in writing and signed by Vivation International.

13. Severability

If any part of this Agreement is found invalid or unenforceable, the remaining parts will remain in effect, and the invalid or unenforceable part will be modified or limited to the minimum extent necessary so the Agreement remains enforceable as closely as possible to its original intent.

14. Governing Law and Venue

This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute arising out of or relating to this Agreement, the Restricted Materials, or unauthorized use of Vivation materials or marks shall be brought exclusively in the state or federal courts located in Wyoming, with venue in Casper, Wyoming to the extent permitted by law.

15. Entire Agreement and Written Changes Only

This Agreement is the entire agreement between the parties regarding the annual Vivation Professional license, Restricted Materials, confidentiality, and limited use rights, unless a later written agreement signed by both parties states otherwise. This Agreement may be amended only in writing signed by Vivation International and Licensee.

16. Headings and Titles

The title of this Agreement and the section headings are for convenience and organization only. The actual terms of the Agreement control the rights and obligations of the parties, regardless of any title or heading.

17. Page Initials and Document Integrity

As an additional document-integrity safeguard, Licensee is asked to initial the footer of each page of this Agreement at the time of signing. Page initials are intended to confirm that Licensee reviewed that page and that the page is part of the signed Agreement.

Page initials are not a substitute for the final signature below. The final signature is the act that executes this Agreement. If a page initial is missing because of clerical error, that omission alone does not invalidate the Agreement if the Agreement is otherwise signed and enforceable.

18. Acknowledgment

By signing below, you acknowledge that you have read this Agreement, understand it, have had the opportunity to ask questions, and agree to the annual professional license terms, the restricted-materials terms, and the confidentiality obligations in this Agreement.
